The short version. This is not a substitute for the full terms below, but it is what they add up to:
- Your company owns everything it puts into BOSS. We use it only to run the service for you.
- You pay per person, monthly or yearly, and can cancel at any time. Cancelling stops the next renewal.
- The AI assistant runs on your own AI account and key. What you send it goes to the AI provider you choose.
- BOSS is not built for medical records, payment card numbers or other regulated data. Keep that out.
- When you leave, you can ask for an export of your data, and we delete it after that.
1. The agreement
These Terms of Service are an agreement between LampyrLabs, LLC, a Texas limited liability company ("LampyrLabs", "we", "us"), and the company or organization that creates or uses a BOSS workspace ("Customer", "you"). They apply to the BOSS web and mobile apps, the BOSS website and everything we provide with them (together, the "Service").
By creating a workspace, checking the box at sign-up, or using the Service, you agree to these terms. The person who accepts them confirms that they are at least 18 and have the authority to bind the Customer. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal information and is part of these terms. If you and we sign a separate written agreement that covers the Service, that agreement controls where it conflicts with these terms.
2. The service
BOSS is software for running a company: a one-page vision, quarterly priorities, a weekly scorecard, issues and to-dos, weekly meetings, an accountability chart, people and process tools, a company checkup, connectors, imports and an optional AI assistant. Which of these are available depends on your plan.
We improve the Service over time. We may add, change or remove features, but we will not remove a core feature your plan includes during a paid term without telling you first. Features we label as preview or early access are offered as they are, may change quickly, and may be withdrawn.
The Service is a business tool. It is offered to companies and organizations, not to consumers for personal or household use.
3. Workspaces and accounts
- Owner. The person who creates a workspace is its owner. The owner controls who is invited, what access each person has, billing, connectors and AI settings. An owner can make other people owners.
- Your people. You are responsible for the people you invite and for what they do in your workspace, as if you did it yourself. Remove access when someone leaves.
- Sign-in details. Each person needs their own account. Keep passwords private and tell us right away if you believe an account has been misused.
- Accurate information. Give us accurate company, contact and billing information and keep it up to date.
- Coaches and advisors. If you invite an outside coach or advisor, they act on your behalf inside your workspace, and you decide what they can see.
4. Free trial
New workspaces may start with a free trial. Its length is shown at sign-up. No card is needed to start. At the end of the trial, the workspace stays readable but becomes read-only until you choose a plan and add a payment method. If you do not subscribe, we may delete a trial workspace 90 days after the trial ends.
5. Plans, billing and payment
- Price. Plans are priced per person in the workspace, billed monthly or yearly, at the prices shown when you subscribe. Prices do not include taxes; you pay any sales, use or similar taxes that apply.
- People billed. The number of people billed follows the active members of your workspace. When you add someone, the change is charged pro rata for the rest of the current period. When you remove someone, the lower count applies from the change forward, and any credit is applied to later bills rather than refunded.
- Renewal. Subscriptions renew automatically for the same period until cancelled. You authorize us and our payment processor to charge your payment method on file for each renewal and for changes in the number of people.
- Payment processing. Payments are handled by Stripe. Your card details go directly to Stripe and are not stored by BOSS. Stripe's own terms apply to the payment itself.
- Failed payments. If a payment fails, we will let the owner know and retry. If it is still unpaid after a reasonable period, the workspace may become read-only until the balance is paid.
- Price changes. We may change prices for future periods. We will give the owner at least 30 days' notice before a change applies to your renewal, and you can cancel before it takes effect.
- Refunds. Fees are not refundable, including for partial periods or unused seats, except where the law requires a refund or where we say otherwise in writing.
6. Your data
You own it. Everything your company and its people put into the Service, including visions, priorities, numbers, issues, notes, meeting content, files and imported records ("Customer Data"), belongs to you.
What you allow us to do. You give us permission to host, copy, process, display and send Customer Data only as needed to provide, secure and support the Service, to follow your instructions (for example, sending content to the AI provider you choose), and to comply with the law. We do not sell Customer Data, and we do not use it to train AI models.
Who at LampyrLabs can see it. Our staff do not browse workspaces. We look at Customer Data only when you grant support access from Settings, which is limited in time and can be revoked, or when it is needed to keep the Service secure, fix a problem you reported, or meet a legal obligation.
Where it lives. The Service runs on Google Cloud (Firebase) with data stored in the United States. The service providers we rely on are listed in the Privacy Policy.
Usage information. We collect information about how the Service is used, such as when people sign in, which features are used and how often meetings are held. We use it to run, support and improve the Service and to bill correctly. Where we share it outside LampyrLabs, it is combined so that it does not identify you or your people.
Your responsibilities. You are responsible for the accuracy of Customer Data and for having the right to put it into the Service, including any personal information about your employees and others. You agree to give the people whose information you include any notice the law requires.
Security. We use reasonable technical and organizational measures to protect Customer Data, including encryption in transit, access controls that keep each workspace separate, and audit records of sensitive actions. No system is perfectly secure. If we learn of a security incident that affects your Customer Data, we will tell the owner without undue delay.
7. AI features
- Your key, your provider. The AI assistant, meeting recaps and number suggestions run only if an owner connects an API key from a supported AI provider (currently Anthropic, OpenAI or Google) and turns the assistant on. You can turn it off or remove the key at any time.
- What is sent. When someone uses an AI feature, the request and the workspace content needed to answer it (for example, a meeting's notes for a recap) are sent to your chosen provider through our servers. Your agreement with that provider governs how it handles that content, and you pay that provider for the usage.
- Your key is kept server side. We store the key so that only our servers can use it. It is never shown back in full in the app.
- Models change. Providers retire models. If the model you picked is no longer available, BOSS may switch to the closest newer model from the same provider so the features keep working, and will show the owner that it did.
- Check the output. AI output can be wrong, incomplete or unsuitable. It is a starting point for your team's judgment, not advice. You are responsible for what you decide to keep and act on.
8. Connectors and imports
Connectors let the Service read numbers from other systems you use, such as a PSA tool, a webhook or a spreadsheet. When you set one up, you authorize us to access that system with the credentials you provide, only to bring the data you chose into your workspace. Connector credentials are kept server side. Your use of the other system is governed by its own terms.
Imports bring records into your workspace from a file you provide. You confirm you have the right to use that data. An import can be undone from the Import page, which removes the records it created, including any later changes to them.
9. Acceptable use
You agree that you and your people will not:
- use the Service for anything unlawful, harmful, fraudulent or that infringes someone else's rights;
- upload malware, or try to break into, overload or disrupt the Service or another customer's workspace;
- copy, sell, resell or rent the Service, or use it to build a competing product;
- reverse engineer the Service, except where the law allows it despite this limit;
- scrape the Service or access it by automated means other than the features and interfaces we provide;
- get around limits on seats, plans or features, or share one account among several people.
Regulated data. The Service is not designed for, and you agree not to put in it, protected health information covered by HIPAA, payment card numbers, government identification numbers, bank account numbers, or other information that requires special legal protection. We do not sign business associate agreements. Write about your patients, clients and staff in general business terms instead.
We may remove content or suspend access that breaks this section. We will tell you why unless the law or the situation prevents it.
10. Methods and trademarks
BOSS is independent software. It is not affiliated with, endorsed by or certified by the owner of any business-management method, coaching program or framework. Many companies run on a method taught by a coach; BOSS lets you rename its words to match yours. Any names you use are your choice, and the trademarks of others belong to their owners.
LampyrLabs owns the Service, including its software, design and the BOSS name and marks. Apart from the right to use the Service under these terms, no rights are granted to you. If you send us ideas or feedback, we may use them freely, with no obligation to you.
11. Availability and support
We work to keep the Service available and fast, but we do not promise it will be uninterrupted or error-free. We may need short maintenance windows, and we will try to schedule them outside normal business hours in the United States. We are not responsible for outages caused by things outside our reasonable control, including failures of the internet, our hosting providers or your AI provider.
Support is provided by email and through the app during normal business hours, Central time. Response times are not guaranteed unless we agree to them in writing.
12. Cancelling and ending
- You can cancel at any time from Billing in Settings. Cancelling stops the next renewal. You keep access until the end of the period you have paid for.
- We may suspend or end your access if you do not pay, if you seriously or repeatedly break these terms, or if we must to comply with the law or protect the Service or other customers. Where practical, we will warn you first and give you a chance to fix the problem.
- If we stop offering the Service, we will give the owner at least 60 days' notice and refund any prepaid fees for the time after it ends.
- Getting your data out. For 30 days after your workspace ends, the owner can ask us for an export of your Customer Data in a common format such as CSV or JSON, and we will provide it.
- Deletion. After that, we delete Customer Data from the live Service within 90 days. Copies in backups are removed as the backups expire. We may keep billing records and audit logs for as long as the law requires.
Sections 6, 9 and 13 to 19 continue to apply after these terms end.
13. Confidentiality
Each of us may learn non-public information about the other, such as your Customer Data or our plans and pricing. Each of us will use the other's confidential information only for the purposes of these terms, protect it with reasonable care, and share it only with people who need it and are bound to keep it confidential. This does not cover information that is public through no fault of the receiver, was already known to it, was received lawfully from someone else, or is developed independently. Either of us may disclose information when the law requires, after giving notice where allowed.
14. Warranties
We will provide the Service with reasonable skill and care and substantially as described on our website. If it does not, tell us and we will work to fix it; if we cannot within a reasonable time, you may cancel and receive a refund of prepaid fees for the unused part of the term. That is your sole remedy for a breach of this promise.
Apart from that promise, the Service is provided "as is" and "as available". To the extent the law allows, LampyrLabs disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service, or any AI output, will meet your business goals or be free of errors.
15. Limits of liability
To the extent the law allows, neither LampyrLabs nor you will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising out of these terms or the Service, even if told they were possible.
To the extent the law allows, each party's total liability arising out of these terms or the Service is limited to the amount you paid LampyrLabs for the Service in the 12 months before the event that gave rise to the claim, or 100 US dollars if you are on a free trial.
These limits do not apply to your obligation to pay fees, to either party's breach of section 13, to your obligations under section 16, or to liability that cannot be limited by law.
16. Indemnity
You will defend LampyrLabs against any claim brought by a third party that arises from your Customer Data or from your or your people's use of the Service in breach of these terms or the law, and pay any resulting damages and reasonable costs, including attorneys' fees, finally awarded or agreed in a settlement you approve. We will tell you promptly about the claim, let you control the defense, and cooperate at your expense.
17. Changes to these terms
We may update these terms as the Service and the law change. If a change is material, we will tell the owner by email or in the app at least 30 days before it takes effect. The date at the top of this page shows when the terms last changed. If you keep using the Service after a change takes effect, the new terms apply; if you do not agree, you can cancel before then.
18. Governing law and disputes
These terms are governed by the laws of the State of Texas and the federal laws of the United States, without regard to conflict-of-law rules. Before filing a claim, each of us agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days. Any claim that is not resolved will be brought only in the state or federal courts located in Tarrant County, Texas, and both parties consent to those courts. Either party may seek an injunction in any court to protect its confidential information or intellectual property.
19. General
- Whole agreement. These terms, the Privacy Policy and any order or plan details you accept are the whole agreement about the Service and replace earlier discussions about it.
- Assignment. You may not transfer these terms without our written consent, except to a company that takes over all or most of your business. We may transfer them to an affiliate or to a successor in a merger or sale of our business, and will tell you if we do.
- Events beyond control. Neither of us is responsible for delays caused by events beyond reasonable control, such as natural disasters, war, labor disputes, government action or failures of utilities or networks. This does not excuse paying fees.
- Severability and waiver. If any part of these terms cannot be enforced, the rest still applies. Not enforcing a part of these terms is not a waiver of it.
- Notices. We send notices to the owner's email address or in the app. You send notices to us at the address in section 20. Notices count as given when sent by email, unless the sender learns it was not delivered.
- Independent parties. We are independent contractors. Nothing here creates a partnership, employment or agency relationship.
- Export laws. You will not use the Service in violation of US export laws or sanctions.
- Customer reference. We will not use your company's name or logo in our marketing without your permission.
